Introduction
Welcome to AL-ARCH STUDIO PVT. LTD., operating under the brand 92AI ARCHITECTURE | INTERIOR | CONSTRUCTION, a multidisciplinary firm delivering architecture, interior design, and turnkey construction solutions.
With extensive experience across residential, commercial, and industrial projects, the company follows an integrated design-to-execution approach, ensuring quality, efficiency, and cost control.
These Terms & Conditions form an integral part of all proposals, BOQs, drawings, agreements, and project executions undertaken by the company.
Scope of Services
The company provides end-to-end professional services including:
- Architectural Planning & Design Development
- Interior Design & Execution (Luxury & Functional Spaces)
- Civil Construction & Structural Coordination
- Turnkey Design & Build Solutions
- Pre-Engineered Building (PEB) Structures
- Landscape & External Development
- Project Management Consultancy (PMC)
All deliverables are based on approved layouts, working drawings, 3D visualizations, BOQ, and material specifications.
Design & Approval Process
- All concepts, layouts, and designs are shared in stages for client approval.
- Maximum 2–3 design revisions are included; additional revisions may be chargeable.
- Final approved drawings shall be treated as “Good for Construction (GFC)”.
- Any changes after GFC approval will be treated as a variation.
BOQ & Costing Structure
- BOQ is prepared based on standard measurements, site inputs, and design intent.
- Rates are inclusive of material, labor, installation, and supervision, unless stated otherwise.
- Quantities mentioned are tentative and may vary during execution.
Important Clauses:
- BOQ Variation Clause: Final billing based on actual site measurements
- Rate Validity: Rates valid for a limited time (typically 15–30 days)
- Escalation Clause: Price changes in materials (steel, wood, hardware, etc.) may be revised
Payment Terms
- A mobilization advance (20%–40%) is mandatory before commencement.
- Payments are strictly milestone-based, aligned with project progress.
- No credit facility is provided under any circumstances.
Delay Impact:
- Work suspension
- Resource demobilization
- Revised timeline & cost escalation
Additional Work:
- Any work beyond BOQ requires written approval + additional payment
Project Execution & Site Management
- Execution is carried out as per GFC drawings and approved BOQ.
- The company maintains strict quality control, site supervision, and vendor coordination.
Execution Conditions:
Client must provide:
- Site access
- Electricity & water
- Storage space
Technical Clauses:
- Material Substitution: Equivalent or better material may be used if unavailable
- Tolerance: Minor deviations (±5%) acceptable
- Workmanship: As per standard industry practices
Timeline & Delivery
- Project timelines are indicative, not absolute.
Dependent on:
- Client approvals
- Site readiness
- Payment clearance
- External conditions
Timeline Protection Clause:
Any delay due to client/payment/design changes automatically results in timeline extension without penalty.
Client Responsibilities
The Client shall ensure:
- Timely approvals of drawings and materials
- Strict adherence to payment schedule
- No interference in site execution
- Appointment of a single decision authority
Failure to comply may result in project delays, cost escalation, and quality impact.
Procurement & Material Policy
- Materials are procured based on approved specifications and samples.
- Once approved and ordered, materials cannot be changed or cancelled.
Material Locking Clause:
- Advance payments confirm procurement
- Any change post-order will incur additional cost and delay
Cancellation & Termination
- Advance payments are non-refundable after commencement.
- Termination must be communicated in writing.
Client must clear dues for:
- Completed work
- Materials purchased
- Site expenses
Defect Liability & Warranty
- A 6–12 month Defect Liability Period (DLP) is provided for workmanship.
- Covers execution defects only
Does NOT cover:
- Normal wear & tear
- Third-party damage
- Improper usage
Intellectual Property Rights
- All designs, drawings, BOQs, and concepts remain the sole property of AL-ARCH STUDIO PVT. LTD.
- Client receives limited rights for project-specific use only.
- Reuse, duplication, or sharing without consent is prohibited.
Limitation of Liability
The company is not liable for delays or damages due to:
- Government approvals
- Market fluctuations
- Labor issues
- Force majeure events
- Liability is strictly limited to the executed contract value.
Force Majeure
The company shall not be held responsible for delays caused by events beyond control including:
- Natural disasters
- Pandemic situations
- Government restrictions
- Supply chain disruptions
Governing Law & Jurisdiction
- Applicable Law: Laws of India
- Jurisdiction: Delhi NCR Courts
All disputes shall first be attempted to be resolved through mutual consultation, failing which legal action may be pursued.
